We recently discussed dissolving a Pennsylvania corporation. The process of winding up businesses that are not incorporated can differ greatly, depending on the type of business entity you operated. In this article we’ll discuss requirements for closing an LLC.
In order to close your domestic LLC in Pennsylvania, you must provide a complete and properly executed Certificate of Dissolution, Domestic Limited Liability Company form to the Department of State Corporations Bureau.
Before the Corporations Bureau will accept your Certificate of Dissolution, you must first obtain tax clearance certificates from the Department of Revenue and from the Bureau of Employment Security of the Department of Labor and Industry evidencing payment of all taxes and charges payable to the Commonwealth. Once your LLC has been effectively dissolved under Pennsylvania law, it may not carry on any business except as necessary to wind up its business affairs.
